The Website is operated by Hapoel Shop Trade Ltd., Company No. 517335576 (hereinafter: &#8220;<strong>the Company<\/strong>&#8221; or &#8220;<strong>Website<\/strong> <strong>Management<\/strong>&#8220;).<\/li>\n<li>These Terms of Use are written in the masculine form for convenience only and are addressed to all genders.<\/li>\n<li>The provisions of these Terms of Use are intended to regulate the legal relationship between the Company and any person browsing or making a purchase through the Website (hereinafter: &#8220;<strong>the User<\/strong>&#8220;).<\/li>\n<li>&#8220;Hapoel&#8221; \u2013 Hapoel Tel-Aviv Football Club, through Poalei Tel-Aviv Holdings Ltd., Company No. 515598449, or its representatives, as applicable.<\/li>\n<li>&#8220;The App&#8221; \u2013 Hapoel&#8217;s official application.<\/li>\n<li>&#8220;RED Rewards Program&#8221; \u2013 Hapoel&#8217;s Red rewards program, as detailed in Chapter 5 of these Terms of Use.<\/li>\n<li>&#8220;RED User&#8221; \u2013 a user who has joined the RED Rewards Program through the App and\/or by any other method determined by Hapoel from time to time.<\/li>\n<li>&#8220;Rediz&#8221; \u2013 accumulation units\/points awarded to eligible RED users for purchases on the Website and\/or at the club store, which may be redeemed in accordance with the provisions of these Terms of Use.<\/li>\n<li>&#8220;RED Tiers&#8221; \u2013 the two benefit tiers within the RED Rewards Program, as detailed in Chapter 5 of these Terms of Use: Red and Red-Extra.<\/li>\n<li>Any use of the Website, including browsing, viewing its content, making a purchase, accumulating or redeeming Rediz, constitutes unconditional acceptance of the provisions of these Terms of Use. The User declares that they have read the Terms of Use and will have no claim or demand against the Company arising from unfamiliarity with the terms. <\/li>\n<li>The Company reserves the exclusive right to update or modify the Terms of Use from time to time, without the need for prior notice. The binding terms shall be those published on the Website at the time of the activity. <\/li>\n<li>Records in the Company&#8217;s computer systems shall constitute prima facie evidence of actions performed on the Website and their content.<\/li>\n<li>Product photographs and illustrations appearing on the Website are for illustrative purposes only and are not binding on the Company. There may be differences in shades or appearance resulting from display variations on different screens. The Company will make every effort but does not undertake to maintain inventory of all products whose images appear on the Website.  <\/li>\n<li>In any case of a clerical error in the description of a product, its price, or payment terms, the Company may cancel the specific order without liability for compensation.<\/li>\n<li>In any case of contradiction and\/or discrepancy between the provisions of these Terms of Use and any other publications, the provisions of these Terms of Use shall prevail in all matters.<\/li>\n<\/ul>\n<\/li>\n<li><strong><u>Eligibility to Use the Website<\/u><\/strong>\n<ul>\n<li>Purchasing products on the Website will be possible if:\n<ul>\n<li>The User is legally competent, over 18 years of age, holds a valid email address, and possesses a payment method supported by the Website&#8217;s payment processing system.<\/li>\n<li>If a user is a minor (under 18 years of age) or is not eligible to perform legal actions without guardian approval, their use of the Website shall be deemed to have received guardian approval, at the User&#8217;s responsibility and the guardian&#8217;s responsibility, without any obligation on the Company to verify this independently.<\/li>\n<li>The User holds a valid Israeli identity card or is a legal entity registered in Israel.<\/li>\n<li>The User holds a valid payment method honored by the Website and supported by the Website&#8217;s payment processing system.<\/li>\n<li>The User has a valid email address on the internet.<\/li>\n<\/ul>\n<\/li>\n<li>The Company may prevent a user from placing orders on the Website at its discretion, including in cases of intentional provision of false information, harm to the Company, or use of the Website to commit an illegal act. In such cases, the Company reserves the right to take legal action against that user. <\/li>\n<\/ul>\n<\/li>\n<li><strong><u>Sale Process, Pricing, and Payment<\/u><\/strong>\n<ul>\n<li>Pricing and Tax Policy:\n<ul>\n<li>Product prices displayed on the Website are quoted in New Israeli Shekels (NIS) and include VAT as required by law.<\/li>\n<li>The Company may update product prices and shipping rates from time to time, without the need for prior notice. The binding price for an order is the price published on the Website at the time of completing the purchase process (providing credit card details). <\/li>\n<li>The Company does not undertake that product prices on the Website are the lowest available, or that they match product prices at physical points of sale. The User waives any claim of reliance in this matter. <\/li>\n<\/ul>\n<\/li>\n<li>Order Process and User Commitment:\n<ul>\n<li>To make a purchase, the User must select the desired product (including selection of size, color, model, and quantity) and enter all required information on the &#8220;sales page.&#8221;<\/li>\n<li>Placing an order and confirming it on the Website constitutes a purchase of the service\/product, obligating the User to pay the full amount stated (hereinafter: &#8220;<strong>the Amount Payable<\/strong>&#8220;).<\/li>\n<li>If the User is eligible to redeem Rediz as part of the transaction, redemption of Rediz shall be done subject to the provisions of Chapter 5 of these Terms of Use, and will be deducted from the transaction amount according to the redemption ratio and limitations in effect at the time of purchase.<\/li>\n<li>The User is aware that accuracy of personal details (name, address, phone, and email) is essential for delivery. Providing incorrect information may lead to delays or cancellation of the transaction, and the Company will not be liable for this. <\/li>\n<\/ul>\n<\/li>\n<li>Payment Processing and Third Parties:\n<ul>\n<li>Payment will be made only through payment methods supported by the Website&#8217;s payment processing system, which may change from time to time at the Company&#8217;s discretion and according to the payment processing company&#8217;s capabilities.<\/li>\n<li>The User declares that they are aware that use of the payment method is also subject to the terms of use and policies of those payment processing providers, and that the Company is not responsible for any malfunction or action arising from those agreements.<\/li>\n<li>If the credit card company imposes additional costs on the Company for processing a specific card, the Company may charge the User for those costs, subject to applicable law.<\/li>\n<li>The Company may require additional information or additional identification from the User before approving the transaction, at its sole discretion.<\/li>\n<\/ul>\n<\/li>\n<li>The Company reserves the full right to refuse a purchase request or cancel an existing order, even after receiving approval from the credit card company, in any of the following cases:\n<ul>\n<li>A clerical error, exceptional technical error, or human error occurred in the product description, product price, or delivery terms;<\/li>\n<li>A communication malfunction or technical problem occurred that disrupted the normal sales process or price determination;<\/li>\n<li>Reasonable suspicion arose that the User engaged in illegal activity, or that payment for the product will not be made in full and on time;<\/li>\n<li>If it turns out that after transaction approval, the credit card company cannot transfer payment to the Company for any reason;<\/li>\n<li>In cases of force majeure or events beyond the Company&#8217;s control that prevent product delivery or normal sales management.<\/li>\n<\/ul>\n<\/li>\n<li>Credit Card Approval Failure:\n<ul>\n<li>If a transaction is not approved by the credit card company, the User will receive appropriate notice. In such a case, the User must contact the Company within 7 days to arrange payment. <\/li>\n<li>If the User does not act to arrange approval within this time period, the Company will be entitled to cancel the order permanently without further notice.<\/li>\n<\/ul>\n<\/li>\n<li>A transaction will be considered a completed transaction that has matured into a binding contract only after both of the following cumulative conditions have been met: (1) final approval from the credit card company; (2) sending a detailed confirmation notice to the User&#8217;s email address.<\/li>\n<\/ul>\n<\/li>\n<li><strong><u>Auction Sale<\/u><\/strong>\n<ul>\n<li>Website Management may, at its sole discretion, offer products for sale by auction method for a limited time (hereinafter: &#8220;<strong>the Sale<\/strong> <strong>Period<\/strong>&#8220;). The sale will be conducted by submission of price bids by Users, in accordance with the terms detailed in this chapter and on the specific product page. <\/li>\n<li>To prevent &#8216;sniping&#8217; attempts in the final moments of the Sale Period, Website Management may activate an automatic extension mechanism, so that any bid submitted within a defined time period before the auction ends will extend the auction period by an additional predetermined time period.<\/li>\n<li>Participation in an auction is permitted only to registered users on the Website who meet the eligibility requirements detailed in Section 2 of these Terms of Use. Submitting a bid constitutes an irrevocable commitment by the User to purchase the product at the amount they offered, if declared the winner. Website Management may condition participation in an auction on entering valid payment method details in advance. The User consents that if declared the winner, the Company may (but is not obligated to) automatically charge the entered payment method for the winning amount.   <\/li>\n<li>For each product in an auction, Website Management may set an &#8220;opening price&#8221; (the minimum amount for submitting an initial bid) as well as &#8220;bid increments&#8221; (the minimum amount to be added to the existing highest bid).<\/li>\n<li>Website Management may set a confidential reserve price, below which bids will not be accepted as winning bids, even if they were submitted as the highest bids in practice.<\/li>\n<li>In certain auctions, submission of an &#8220;automatic bid&#8221; (Proxy Bidding) will be possible. The system will submit bids on behalf of the User and at their request that are higher by one &#8216;bid increment&#8217; than the current bid, up to the maximum amount they defined in advance. <\/li>\n<li>To protect participants&#8217; privacy, Website Management may display bidder details on the product page in a masked or partial manner, but internal system records will constitute conclusive evidence of winners&#8217; identities.<\/li>\n<li>Website Management may set participation fees or bid submission fees. Such participation fees will be collected when the bid is submitted and will not be refunded to the User, regardless of the sale results. <\/li>\n<li>Determining the Winner and Completing the Transaction:\n<ul>\n<li>At the end of the Sale Period, the User who offered the highest price will be declared the winner, subject to verification of the User&#8217;s details and payment method by Website Management. It is clarified that Website Management&#8217;s system records will constitute conclusive evidence regarding bids submitted and their submission time; <\/li>\n<li>Notice of winning will be sent to the User&#8217;s email address. The winner must complete the payment process within 24 hours of sending the notice if they were not automatically charged this amount in accordance with Section 4.3 above; <\/li>\n<li>In addition to the winning price, the Company may collect a &#8220;winner&#8217;s fee.&#8221; This amount will be added to the final amount payable and will be collected as an integral part of the transaction; <\/li>\n<li>If the winner does not complete payment by the stated time, the Company may cancel their win and offer the product to the bidder who submitted the next highest bid, or cancel the auction entirely, at its discretion.<\/li>\n<\/ul>\n<\/li>\n<li>The Company reserves the right to stop, extend, or shorten the Sale Period at any time and for any reason, and to cancel an auction for a specific product in case of technical malfunction, clerical error in price or product description, or suspicion of manipulation of the bidding system.<\/li>\n<li>Products sold through auction will not be subject to discounts, coupons, promotional multipliers, accumulation or redemption of Rediz, or other Red benefits, unless expressly stated otherwise in writing by the Company.<\/li>\n<li>Cancellation of a purchase of a product won in an auction will be done in accordance with the Consumer Protection Law and the cancellation policy detailed in Section 7 of these Terms of Use. However, it is clarified that products manufactured or printed especially for the winner (such as shirts with personal printing or other personal customization) are not eligible for cancellation in accordance with Section 7.7 of the Terms of Use. <\/li>\n<\/ul>\n<\/li>\n<li><strong><u>RED Rewards Program<\/u><\/strong> <strong><u><\/u><strong><u>and <\/u><\/strong><strong><u>Rediz Program<\/u><\/strong><\/strong>\n<ul>\n<li>The RED Rewards Program is Hapoel&#8217;s rewards program. Joining the RED Rewards Program will be done through the App and\/or by any other method determined by Hapoel from time to time. <\/li>\n<li>The RED Rewards Program is divided into two tiers, with eligibility and benefits granted to RED users determined according to the tier to which a RED user belongs, as determined in Hapoel&#8217;s systems and\/or the App.<\/li>\n<li>Red Tier \u2013 intended for every fan registered in the club&#8217;s app. RED users in this tier will be eligible to receive access to exclusive content distributed in the app, as determined by Hapoel from time to time. It is clarified that the Red tier does not, in itself, grant eligibility to accumulate Rediz on Website purchases, unless expressly determined otherwise by the Company and\/or Hapoel.  <\/li>\n<li>Red-Extra Tier \u2013 intended for fans registered in the app who hold a valid Hapoel season ticket. RED users in this tier will be eligible to receive access to exclusive content distributed in the app as well as to accumulate Rediz on purchases on the Website and\/or at the club store, subject to the provisions of these Terms of Use. <\/li>\n<li>It is clarified that eligibility for a particular tier, including eligibility to accumulate Rediz or redeem them, may be conditional on User identification on the Website, logging into the User account, matching between User details on the Website and their details in the App, and\/or meeting additional technical and operational conditions as determined from time to time.<\/li>\n<li>Rediz accumulation is intended for RED users in Red-Extra tier only, unless the Company and\/or Hapoel have expressly stated otherwise.<\/li>\n<li>An eligible RED user will be able to accumulate Rediz at a rate of 5% of the purchase amount on the Website, unless expressly stated otherwise with respect to a particular product, transaction, promotion, or period. For example: a purchase of 200 NIS will earn 10 Rediz. <\/li>\n<li>The Company and\/or Hapoel may, from time to time and at their discretion, grant additional bonus Rediz, including a bonus of 10 Rediz for purchasing limited edition products, or any other benefit they publish.<\/li>\n<li>Rediz will not be accumulated for shipping fees, coupon multipliers, or specially discounted transactions, and Rediz will not be accumulated for products in auction, products or transactions for which it was stated that no accumulation will be given, or purchases made not in accordance with the provisions of these Terms of Use, unless expressly decided otherwise by the Company and\/or Hapoel.<\/li>\n<li>Each individual Rediz (1) will be equivalent to 1 NIS for redemption purposes on Website purchases only, subject to conditions, limitations, and redemption systems as they may be from time to time.<\/li>\n<li>Rediz redemption will be possible up to a ceiling of 30% of a single transaction amount, unless expressly determined otherwise by the Company and\/or Hapoel. The balance will be paid by another payment method supported on the Website. <\/li>\n<li>Rediz accumulated lawfully will not expire due to passage of time alone, and will remain valid as long as a RED user&#8217;s eligibility for the RED Rewards Program is valid, subject to the provisions of these Terms of Use. It is clarified that the foregoing does not derogate from the right of the Company and\/or Hapoel to deduct, zero out, or cancel Rediz in accordance with the provisions of these Terms of Use, including in case of transaction cancellation, product return, account deletion, membership cancellation, termination of eligibility, expiration of eligibility, misuse, fraud, or cessation of RED Rewards Program and\/or Rediz program operations. <\/li>\n<li>A RED user will be able to view, to the extent possible in the Company&#8217;s systems and\/or the App, their current Rediz balance, accumulation history, and Rediz redemption history.<\/li>\n<li>Rediz do not constitute money, cash, a monetary voucher, an independent payment method, or a proprietary right, are not convertible to cash, transferable, sellable, pledgeable, or redeemable in any other way, and their use will be possible only in accordance with the provisions of these Terms of Use.<\/li>\n<li>If a user made a transaction and subsequently canceled it, or in case of product return, charge cancellation, or non-completion of a transaction for any reason, the Company and\/or Hapoel may deduct the amount of Rediz accumulated for that transaction from the User&#8217;s balance. If the User has already redeemed Rediz accumulated for a transaction that was canceled or returned, the Company and\/or Hapoel may collect from them the monetary value of the redeemed Rediz, deduct them from their balance, or set their balance to a negative balance if they do not have additional Rediz. <\/li>\n<li>In a case where a transaction was partially paid using Rediz and was lawfully canceled, the monetary refund, if due to the User, will apply in proportion to the amount actually paid by monetary payment method only. With respect to Rediz redeemed as part of the transaction, the Company and\/or Hapoel may return them to the User&#8217;s balance, cancel them, or act according to policy determined from time to time, all subject to applicable law and the circumstances of the cancellation. <\/li>\n<li>A RED user may request termination of their membership in the RED Rewards Program at any time by contacting customer service or as defined in the App. It is clarified that upon membership cancellation, termination of eligibility, its expiration, account deletion in the App, or account blocking due to violation of these Terms of Use, the Rediz balance accumulated to their credit will be immediately reset, and it will not be possible to restore it or receive monetary or other compensation for it, unless expressly determined otherwise by the Company and\/or Hapoel. <\/li>\n<li>The Company and\/or Hapoel may, at their discretion, block a user, block access to the App or Website, cancel membership in the RED Rewards Program, zero out or deduct Rediz balance, in case of genuine concern of fraud, deception, abuse of the Rediz program, use contrary to these Terms of Use, or a malfunction that led to unlawful accumulation or redemption.<\/li>\n<li>The Company and\/or Hapoel are not responsible for loss of Rediz or temporary inability to accumulate or redeem Rediz due to technical malfunctions, communication disruptions, hardware or software malfunctions, maintenance work on the Website, App, or Company systems, unauthorized access to the User&#8217;s account, account hacking, providing access details to a third party, or any other circumstance not within their reasonable control.<\/li>\n<li>Records in the Company&#8217;s and\/or Hapoel&#8217;s systems shall constitute prima facie evidence regarding eligibility for the relevant RED tier, validity of eligibility for the RED Rewards Program, amount of Rediz, dates of their accumulation, and dates of their redemption.<\/li>\n<li>The Company and\/or Hapoel reserve the right to change from time to time the terms of the RED Rewards Program and\/or Rediz program, including changing reward tiers, accumulation rate, redemption ratio, redemption ceiling, eligibility conditions for accumulation and redemption of Rediz, types of qualifying transactions, associated benefits, or manner of accumulation and redemption, and to discontinue operations of the RED Rewards Program or Rediz program, in whole or in part, subject to providing notice as determined by them and subject to applicable law. Notwithstanding Section 5.12 above, in case of cessation of RED Rewards Program or Rediz program operations, the Company and\/or Hapoel may set a reasonable time period for redeeming existing Rediz, after which they cannot be redeemed. <\/li>\n<li>In case of contradiction and\/or discrepancy between the provisions of this chapter and any other publication regarding the RED Rewards Program, RED tiers, or Rediz, including in the App, on the Website, on social networks, or in any other media, the provisions of these Terms of Use shall prevail with respect to purchases on the Website, accumulation of Rediz for Website purchases, and redemption of Rediz on the Website, unless expressly determined otherwise in writing by the Company and\/or Hapoel. In matters relating to membership in the RED Rewards Program itself, eligibility management, exclusive content in the App, and benefits not related to Website purchases, the provisions of the RED Rewards Program Terms of Use will also apply, if such exists and has been published. <\/li>\n<\/ul>\n<\/li>\n<li><strong><u>Delivery and Shipping<\/u><\/strong>\n<ul>\n<li>The Company will arrange delivery of orders intended for shipment to the User&#8217;s address as entered at the time of order, within 21 business days from the date of order confirmation, unless otherwise stated on the product page or sales page. At this stage, product delivery will be made in Israel only. <\/li>\n<li>Orders for self-pickup will be available for pickup within 5 business days from the date of order confirmation. A notice will be sent to the customer when the order is ready for pickup. Delivery times include &#8220;business days&#8221; only (Sun-Thu, excluding holiday eves, holidays, and Saturdays).  <\/li>\n<li>The Company will not be responsible for any delay or hold-up in delivery resulting from force majeure, strikes, port delays, or other circumstances beyond its control.<\/li>\n<li>In areas restricted for security access, the Company may make products available for pickup at a nearby location in coordination with the User.<\/li>\n<li>Shipping fees do not include exceptional delivery (such as high floors without an elevator or need for a crane) \u2013 in such cases the Company may charge an additional payment.<\/li>\n<\/ul>\n<\/li>\n<li><strong><u>Transaction Cancellation, Exchange, and Product Returns<\/u><\/strong>\n<ul>\n<li>A user who has purchased a product on the Website may cancel a transaction, return a product, or exchange a product in accordance with the provisions of the Consumer Protection Law, 5741-1981 and its regulations, and subject to the provisions of this section.<\/li>\n<li>Cancellation Periods:\n<ul>\n<li>The period for canceling a product purchase is from the date the transaction was made until 14 days from the date of receiving the product, or from the date of receiving the document containing the details specified in Section 14C(b) of the Consumer Protection Law, whichever is later.<\/li>\n<li>A user who is a person with a disability, a senior citizen, or a new immigrant (as defined in the Law) may cancel the transaction within four months from the date of making the transaction, from the date of receiving the product, or from the date of receiving the document containing the details specified in Section 14C(b) of the Consumer Protection Law, whichever is later, provided that the transaction included a conversation between the Company and the user (including via electronic communication). The Company may require the user to present a certificate proving that they belong to one of the aforementioned populations. <\/li>\n<\/ul>\n<\/li>\n<li>A user wishing to cancel a transaction shall provide explicit notice to the Company (hereinafter: &#8220;Cancellation Notice&#8221;). For any questions regarding returns, exchanges, or transaction cancellations, and for the purpose of submitting a cancellation notice, you may contact Hapoel Tel Aviv Store customer service using the contact details published on the Website or in one of the following ways: \n<ul>\n<li>By registered mail to the address: 15 HaLochamim, Tel Aviv-Jaffa<\/li>\n<li>By email: shop@htafc.co.il<\/li>\n<li>Via the Website: through a dedicated link\/contact form;<\/li>\n<li>By phone call to: 0554608269<\/li>\n<\/ul>\n<\/li>\n<li>In the event of receiving a defective product or a product that does not match the order, contact customer service as soon as possible, with photos of the product and proof of purchase. After reviewing the inquiry, and if necessary, the Store will arrange for product replacement or provide an appropriate solution in accordance with the law. In the event of cancellation due to a product defect, discrepancy between the product and the details provided on the Website, failure to deliver on time, or other contractual breach by the Company \u2013 the Company will refund the user the full transaction amount within 14 days from the date of receiving the cancellation notice, and the user will make the product available to the Company at the location where it was delivered.  <\/li>\n<li>In the event of transaction cancellation for any reason other than those listed in Section 7.4 above:\n<ul>\n<li>The Company will refund the user the transaction amount paid, within 14 days from the date of receiving the cancellation notice, minus a cancellation fee of 5% of the transaction price or NIS 100, whichever is lower.<\/li>\n<li>If the user has already received the product, they must return it to the Company (to its warehouse or offices, as instructed by the Company) at their own expense.<\/li>\n<li>It is emphasized that the original shipping fees paid for delivering the product to the user&#8217;s home will not be refunded in the event of cancellation that is not due to a defect.<\/li>\n<\/ul>\n<\/li>\n<li>As a condition for refunding the consideration for purchasing the product or for making an exchange, the product must be returned to the Company when it is new, in its original packaging, without defect, with all labels attached to it, with proof of purchase, and without having been used. The Company reserves the right to sue the user for depreciation of the product as a result of significant deterioration in its condition while in the user&#8217;s possession. <\/li>\n<li>In accordance with the law, the right of cancellation, return, or exchange shall not apply, inter alia, in the following cases:\n<ul>\n<li>For jerseys or any other product that was manufactured, printed, or customized personally at the customer&#8217;s request, including printing of a name, number, symbol, patch, or any other personal customization;<\/li>\n<li>Undergarments, including swimwear;<\/li>\n<li>Products that can be recorded, copied, or duplicated, whose original packaging the user has opened;<\/li>\n<li>Products whose price is less than NIS 50 (in accordance with the regulations).<\/li>\n<li>It is clarified that the above products cannot be canceled, exchanged, or returned for any reason other than a defect in the product or an error caused by the Store, in which case the provisions of Section 7.4 above shall apply.<\/li>\n<\/ul>\n<\/li>\n<li>A user wishing to exchange a product for another product (subject to stock availability and Section 7.7 above) may do so within 14 days of receiving the product, provided it has not been used, is new, in its original packaging, with all labels attached to it, and with proof of purchase. Shipping costs for the exchange will be borne by the user, unless otherwise determined by the Company or if the exchange is required due to a product defect or an error caused by the Store. <\/li>\n<li>Without derogating from the provisions of the RED Benefits Track and Rediz Program section above, in the event of transaction cancellation, product return, or product exchange, the Company and\/or Hapoel shall be entitled to deduct Rediz accumulated for the transaction that was canceled or returned.
